Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and {{COMPANY_NAME}}, a Swedish company with organisation number {{ORG_NR}} and address at {{COMPANY_ADDRESS}} ("Hauly", "we", "us"). By creating an account or otherwise using www.hauly.ai and the Hauly workspace (collectively, the "Service") you agree to be bound by these Terms.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to do so. References to "you" then mean that entity.

The service

Hauly provides an AI-assisted workspace and accompanying APIs for handling business operations data. Specific features available to you depend on your subscription tier and may change over time. We will give reasonable notice of material reductions in functionality on subscribed plans.

Accounts

You must provide a valid work email address and keep your account credentials confidential. You are responsible for all activity on your account. Notify us immediately at {{COMPANY_EMAIL}} if you suspect unauthorised access.

Hauly is intended for business use by adults aged 16 or older. Self-registration is currently disabled; accounts are provisioned by us on request.

Acceptable use

You may not, and may not allow any third party to:

• Use the Service to violate any law or third-party right;
• Attempt to gain unauthorised access to the Service, our infrastructure, or another customer's data;
• Interfere with the Service through denial-of-service, scraping at unreasonable rates, or reverse-engineering;
• Submit content that is unlawful, infringing, defamatory, or contains malicious code;
• Use the Service to generate content that infringes intellectual property rights, facilitates fraud, or generates CSAM or other illegal material;
• Resell or sublicense the Service without our written consent.

We may suspend access without notice if we reasonably believe you are violating this section.

Customer content

"Customer Content" means any data, files, prompts, or other materials you submit through the Service. You retain all rights to your Customer Content. You grant Hauly a worldwide, royalty-free licence to host, process, and transmit Customer Content solely to provide the Service to you, and as described in the Privacy Policy and Data Processing Agreement.

You are responsible for ensuring that you have the right to submit your Customer Content and that doing so does not violate any law or third-party right.

AI output

The Service uses large language models to generate responses ("Output") based on your prompts and context. You understand that:

• Output is generated by probabilistic models and may be inaccurate, incomplete, biased, or offensive;
• Output may resemble content generated for other users — uniqueness is not guaranteed;
• You must review Output before relying on it, especially for decisions with legal, financial, medical, or safety implications;
• Output is not professional advice.

As between you and us, you own the Output to the extent permitted by law and our AI processor's terms. You are responsible for how you use it.

Fees

Fees, billing periods, and payment terms are stated on your order form or applicable pricing page. Fees are stated exclusive of VAT and other applicable taxes. We may revise pricing on renewal with at least 30 days' notice. Beta or free-tier access may be modified or discontinued at any time.

Confidentiality

"Confidential Information" means non-public business or technical information disclosed by one party to the other that a reasonable person would understand to be confidential. The receiving party will protect Confidential Information with at least the care it uses for its own confidential information (and no less than reasonable care) and use it only to exercise rights and perform obligations under these Terms.

Intellectual property

Hauly and our licensors own the Service, including all software, design, content, and trademarks. Except for the rights expressly granted in these Terms, no licence is granted to you. You may not use our trademarks without prior written consent.

If you provide feedback, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback to improve the Service, without obligation to you.

Warranties & disclaimers

We will provide the Service with reasonable care and skill. Except as expressly stated in these Terms or a separate signed agreement, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI Output.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data, or loss of goodwill, even if advised of the possibility.

Each party's aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid for the Service in the 12 months preceding the event giving rise to liability or (b) EUR 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or death or personal injury caused by negligence.

Indemnification

You will defend, indemnify, and hold harmless Hauly from and against any third-party claim arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) Output you reproduce or rely on in violation of a third-party right.

Term & termination

These Terms begin when you first accept them and continue until terminated. Either party may terminate for material breach not cured within 30 days of written notice. We may terminate or suspend access immediately if your use poses a security, legal, or reputational risk to us or another customer.

On termination, your right to use the Service ends and we will delete or return your Customer Content as set out in the Data Processing Agreement. Sections that by their nature should survive termination (e.g. IP, confidentiality, liability) will survive.

Changes to the Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in-product banner. If you continue to use the Service after the effective date, you accept the new Terms. If you do not agree, your sole remedy is to stop using the Service and terminate any active subscription as of the effective date.

Governing law & dispute resolution

These Terms are governed by the laws of Sweden, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Disputes will be brought before the competent courts of {{GOVERNING_LAW_VENUE}}, except where mandatory consumer law gives you a right to sue elsewhere.
